Yes, the procedure of depositing share capital offered by Qonto via bank transfer to the account of the administrative body or an individual director is entirely valid in Italy and allowed by the codified regulations.
In fact, Qonto implements the new text of Art. 2464, paragraph 4, Civil Code (introduced in Art. 9, paragraph 15-bis, d.l. 76/2013, converted by l. 99/2013), which admits, among other things, that the payment of cash contributions to be made at the time of incorporation of an S.R.L. or S.R.L.S.
- may be made by any means of payment suitable for the company to achieve the provision,
- may take place, concurrently with or prior to the signing of the articles of incorporation, by delivery of the means of payment or their execution in favor of one of the directors appointed by the articles of incorporation.
Therefore, the payment of capital by wire transfer is more than suitable for the purpose of incorporation of SRL or SRLS provided that the "details" of the wire transfer are always given and that:
- the transfer has already been credited to the director's account at the time of signing the deed of incorporation;
- if, on the other hand, at the time of the incorporation of the company, the transfer has not been credited, it must be non-revocable by the settler.
